COVERZIE operates as a wholesale and bulk supplier of phone cases. The following terms apply specifically to wholesale and bulk purchase transactions.

5.1 Order Placement and Acceptance

All orders placed through the Website, via contact form, email, or any other communication channel are treated as offers to purchase subject to acceptance by COVERZIE. No order shall be deemed accepted until COVERZIE issues a written order confirmation or proforma invoice. COVERZIE reserves the right to refuse or cancel any order at its sole discretion, including orders where product availability has changed, pricing errors have occurred, or concerns about the legitimacy of the buyer exist.

5.2 Minimum Order Quantities

COVERZIE operates primarily as a wholesale supplier. Minimum order quantities (MOQs) may apply to specific products, product categories, or custom orders. MOQs are specified on individual product pages or quotations. COVERZIE reserves the right to update MOQs at any time without prior notice.

5.3 Pricing and Quotations

All prices displayed on the Website are indicative and subject to change without notice. Final pricing will be confirmed in a written quotation or proforma invoice issued by COVERZIE. Prices may vary based on order quantity, product specifications, customisation requirements, and applicable taxes. COVERZIE is not bound by any pricing errors displayed on the Website and reserves the right to correct such errors and adjust pricing accordingly.

5.4 Taxes and Duties

All prices quoted are exclusive of applicable taxes, duties, levies, and charges unless expressly stated otherwise. For domestic orders within India, applicable Goods and Services Tax (GST) will be charged in addition to the product price. For international orders, the buyer is solely responsible for all import duties, customs charges, tariffs, and any other levies imposed by the destination country. COVERZIE shall not be liable for any delays, costs, or consequences arising from customs clearance or regulatory compliance in the buyer’s country.

5.5 Payment Terms

Payment terms will be specified in the proforma invoice or order confirmation issued by COVERZIE. Unless otherwise agreed in writing:

  • Full advance payment is required prior to production or dispatch for new buyers
  • Partial advance and balance payment terms may be offered to established buyers at COVERZIE’s discretion
  • COVERZIE accepts payment through methods as specified at the time of order confirmation
  • All payments must be made in the currency specified in the invoice
  • COVERZIE reserves the right to charge interest on overdue payments at the rate specified in the invoice or, if not specified, at the applicable statutory rate
  • Title to goods does not pass to the buyer until full and final payment has been received by COVERZIE

5.6 Cancellation of Orders

Once an order has been confirmed and payment received, cancellation requests are subject to COVERZIE’s approval and may not be possible where production has commenced or goods have been dispatched. Any approved cancellation may be subject to a cancellation fee to cover costs incurred. COVERZIE reserves the right to cancel any order at any time prior to dispatch and will refund payments received for cancelled orders.

6. Custom and Branded Product Orders

COVERZIE may offer customised or branded phone case products. The following additional terms apply to custom orders:

  • The buyer is solely responsible for ensuring that any artwork, logos, designs, trademarks, or other intellectual property submitted for customisation are owned by or properly licensed to the buyer, and that their use does not infringe the rights of any third party
  • By submitting designs or artwork to COVERZIE, the buyer grants COVERZIE a limited, non-exclusive licence to use, reproduce, and produce such materials solely for the purpose of fulfilling the buyer’s order
  • COVERZIE reserves the right to decline any custom order that contains content that is offensive, illegal, infringing, or contrary to COVERZIE’s policies
  • COVERZIE is not responsible for any intellectual property infringement arising from custom artwork or designs submitted by the buyer. The buyer agrees to indemnify and hold COVERZIE harmless from any claims, losses, or liabilities arising from such infringement
  • Colour variations between digital proofs and final physical products may occur due to printing and manufacturing processes. Minor deviations do not constitute a product defect
  • Once a custom order enters production following buyer approval of the proof, changes to the design are not permitted

7. Shipping, Delivery, and Risk of Loss

7.1 Shipping and Dispatch

COVERZIE will use commercially reasonable efforts to dispatch orders within the estimated timeframe communicated at the time of order confirmation. All estimated delivery timelines are indicative only and are not guaranteed. COVERZIE shall not be liable for any delays in shipping or delivery caused by circumstances beyond its reasonable control.

7.2 Shipping Costs

Shipping costs, if applicable, will be communicated to the buyer prior to order confirmation. Shipping charges are based on the weight, dimensions, and destination of the order, and are subject to change based on prevailing courier rates.

7.3 Risk of Loss and Title

Risk of loss or damage to goods passes to the buyer upon handover of the goods to the carrier or courier for dispatch, unless otherwise agreed in writing. Title to goods passes to the buyer upon receipt of full and final payment. COVERZIE recommends buyers obtain appropriate cargo or transit insurance for high-value shipments.

7.4 Delivery Failure

If delivery fails due to an incorrect address provided by the buyer, absence of an authorised recipient, or failure to collect from a courier depot, the buyer bears the cost of re-delivery or return of goods. COVERZIE is not responsible for loss or theft of goods after successful delivery.

8. Returns, Replacements, and Refund Policy

8.1 Defective or Incorrect Products

If you receive products that are defective, damaged in transit, or materially different from what was ordered, you must notify COVERZIE in writing within seven (7) days of delivery, providing photographic or video evidence of the defect or discrepancy. COVERZIE will, at its discretion, offer a replacement, credit, or refund for verified defective or incorrect items.

8.2 Change of Mind Returns

COVERZIE does not accept returns based on change of mind for wholesale and bulk orders. Given the nature of bulk purchasing, all sales are considered final once the buyer has approved the order and payment has been received.

8.3 Custom Orders

Custom and branded orders are non-returnable and non-refundable except in cases where the products are defective or materially differ from the approved proof, as COVERZIE cannot resell customised goods.

8.4 Refund Processing

Approved refunds will be processed using the original payment method within a reasonable period, as communicated by COVERZIE at the time of approval. Shipping and handling costs are non-refundable unless the return is due to COVERZIE’s error.

9. Intellectual Property Rights

9.1 Ownership of Website Content

The limitations in this Section shall apply regardless of the form of action (whether in contract, tort, negligence, strict liability, or otherwise) and shall survive and apply even if any limited remedy specified in these Terms is found to have failed its essential purpose.

You agree to defend, indemnify, and hold harmless COVERZIE and its directors, officers, employees, agents, contractors, licensors, suppliers, successors, and assigns from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable legal fees and court costs) arising out of or relating to:

  • Your violation or breach of any provision of these Terms
  • Your violation of any applicable law, regulation, or third-party right, including intellectual property rights or privacy rights
  • Any User Content submitted by you
  • Any custom designs, artwork, or trademarks submitted by you for custom orders

  • Any fraudulent, deceptive, or wilfully harmful conduct by you

COVERZIE reserves the right, at its own expense, to assume exclusive control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with COVERZIE in asserting any available defences.

19. Force Majeure

COVERZIE shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond COVERZIE’s reasonable control, including but not limited to acts of God, natural disasters, floods, fires, earthquakes, epidemics, pandemics, wars, acts of terrorism, civil unrest, governmental actions, embargoes, sanctions, industrial disputes, power failures, telecommunications failures, or disruptions to third-party logistics, payment systems, or supply chains.

In the event of a force majeure event, COVERZIE will notify affected buyers as soon as reasonably practicable and will use commercially reasonable efforts to minimise the impact and resume performance of its obligations as soon as the force majeure event ceases.

20. Privacy and Data Protection

The collection, use, storage, and processing of personal information by COVERZIE is governed by our Privacy Policy, which is incorporated into these Terms by reference and forms part of this Agreement. By using the Website, you acknowledge and consent to the data practices described in our Privacy Policy.

COVERZIE is committed to complying with applicable data protection laws, including the Information Technology Act, 2000 (India), the Digital Personal Data Protection Act, 2023 (India), the General Data Protection Regulation (GDPR) for EU/EEA users, and the California Consumer Privacy Act (CCPA) for California residents.

21. Termination and Suspension

COVERZIE reserves the right to immediately suspend, restrict, or permanently terminate your access to the Website and Services, cancel any pending orders, and/or take any other appropriate action, without prior notice or liability, if:
